Terms of Service

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Codenic ("Developer," "we," "us," or "our"), the owner and operator of the mobile application Akoh: Affirmation & Meditation.

By accessing, downloading, creating an account, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the App.

2. ELIGIBILITY

You must be at least 13 years of age to access or use the App. By creating an account, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction (usually 18), you must have the permission of a parent or legal guardian to use the App.

3. MEDICAL DISCLAIMER

THE APP DOES NOT PROVIDE MEDICAL ADVICE. The App is an AI-powered tool designed for entertainment, informational, and self-help purposes only. Content generated by the App is not a substitute for professional medical advice, diagnosis, or treatment. Never disregard professional medical advice or delay in seeking it because of something you have read on the App. If you are experiencing a medical emergency or a mental health crisis, please contact a professional healthcare provider or emergency services immediately.

4. ACCOUNTS AND SECURITY

To use the App, you must register for an account. You agree to:

  1. Provide accurate, current, and complete information.
  2. Maintain the security of your password and account credentials.
  3. Notify us immediately of any unauthorized use of your account.

Account Deletion: You may delete your account directly within the App settings. Your account will be scheduled for permanent deletion on the nearest Monday UTC, and you may reactivate it at any time before that date. When deletion is completed, all data associated with your account is removed from our systems, except as needed to comply with law, prevent fraud, or resolve disputes. Upon deletion, your right to use the App will immediately cease.

5. ARTIFICIAL INTELLIGENCE AND SERVICES

The App uses third-party artificial intelligence and related services to generate content.

6. INTELLECTUAL PROPERTY RIGHTS

A. User Content: You retain ownership of the affirmations and other content generated for you through the App. You are granted a worldwide, royalty-free license to use, copy, and share this content for any personal or commercial purpose.

B. License to Operate the App: You grant Codenic a limited license to store, process, and generate audio from your content solely to operate the App and provide the service to you. This license ends when your account is deleted.

C. App IP: The design, source code, graphics, and structure of the App are the property of Codenic and are protected by copyright and intellectual property laws of the Philippines and international treaties.

7. VIRTUAL CREDITS AND PAYMENTS

A. Virtual Currency: The App uses a credit-based system ("Credits") to generate affirmations. Credits are a limited, non-transferable, revocable, non-exclusive license to use features of the App. Credits have no monetary value and do not constitute personal property.

B. Purchases: Credits are purchased through the Apple App Store or Google Play Store ("Distribution Platforms"). All billing and transaction processes are handled by the respective Distribution Platform.

C. Refunds: All sales are final. Refunds are generally not provided by us. Any refund requests must be directed to the Apple App Store or Google Play Store and are subject to their respective refund policies. If a refund is granted by the Platform, we reserve the right to deduct the corresponding Credits from your account.

D. Non-Transferability: Credits may not be sold, transferred, gifted, or exchanged for cash or other value.

8. USER CONDUCT AND MODERATION

Zero Tolerance Policy: We have a zero-tolerance policy for objectionable content and abusive behavior. You agree not to use the App to:

  1. Input or generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful.
  2. Input content promoting discrimination based on race, ethnicity, religion, gender, or disability.
  3. Attempt to bypass or manipulate the credit system.

Enforcement: We reserve the right to monitor usage and content. If you violate these Terms, we may, at our sole discretion:

9. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE APP IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, OR ERROR-FREE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODENIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE USE OF THE APP IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. DISTRIBUTION PLATFORM TERMS

A. Acknowledgement: These Terms are between you and Codenic only, and not with Apple Inc. or Google LLC. We are solely responsible for the App and its content. B. Maintenance: Apple and Google have no obligation to furnish any maintenance or support services with respect to the App. C. Third-Party Beneficiary: You acknowledge and agree that Apple, Google, and their subsidiaries are third-party beneficiaries of these Terms and have the right to enforce these Terms against you.

12. GOVERNING LAW AND DISPUTE RESOLUTION

A. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

B. Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration in accordance with the Alternative Dispute Resolution Act of 2004 (Republic Act No. 9285). The seat of arbitration shall be Rizal, Philippines. The language of the arbitration shall be English.

C. Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; and (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis.

13. CHANGES TO TERMS

We may modify these Terms at any time. Changes will be posted with an updated "Last Updated" date. Continued use of the App after changes constitutes acceptance.
